SPOT Projects – DISTANT SALES and MEMBERSHIP CONTRACT
1.Parties:
a) Organizing the activities of the internet site “spot-projects.com, SPOT Projects locating in Asmalı Mescit Mahallesi, İstiklal Caddesi, No: 130, K: 4, D: 401 Beyoğlu / Istanbul, (hereafter referred as “SPOT”).
b) Internet user who is a member of www.spot-projects.com website (hereinafter referred to as “Member”)
Membership Program: SPOT.TER Membership Program created in various categories subjected to this Contract by SPOT.

Personal data recorded electronically or automatically during the visit of www.spot-projects.com shall be used primarily to ensure the fulfillment of requests, and then to provide better service by SPOT to its visitors and members. Also, in accordance with SPOT’s Privacy Policy provisions, attention shall be put on the protection and security of the personal data.

2. Subject of the Contract:
The subject of this Contract is to determine the conditions to benefit from the offered membership options and the website (www.spot-projects.com) that is owned by SPOT.

The subject is this Contract is to determine the conditions and rights and obligations for the purchase of SPOT.TER Membership Program by member in electronic platform as of which rights, privileges and fees are determined separately according to the category defined in the contract and for the use of services within the scope of SPOT.TER Membership Program within the category selected and purchased by the Member.
3.Acquisition of the Membership:
Membership is acquired after reading the preliminary information form and accepting the Distant Sales Agreement through electronic form, and making the payment for the selected membership category to SPOT’s account, regardless from the initial date of the membership.
4.Delivering the Membership Card to Member:
The membership card is issued by SPOT and handed to the Member by SPOT team as a rule. The Member acknowledges and undertakes to get the membership card personally at SPOT’s office address or at the location of the events that SPOT organizes and that SPOT has no liability on delay of the delivery of the membership card to Member by SPOT team. If the Member requests for Membership Card to be sent by courier / cargo, it can be done depending on SPOT’s decisions and applications. In this case, the membership card shall be delivered to the Member or to the person living with him, or his employee who shall be authorized by the Member only by submitting an official identity document with a photo of the card owner. If the person authorized by the member does not accept to receive the membership card, or the address given on the Electronic Application Form is incorrect or incomplete, and the changes about this information has not been notified by the Member, SPOT shall not be liable for any delay or posting failures.
5.SPOT.TER Membership Category Payment and Delivery Cost:
The payment confirmed by the Member in the Electronic Application Form shall be made in accordance with the procedure selected in the form established on the website, as the following options;
a)wire transfer
b)can be done personally through mail order or at the SPOT office / at the event locations; or by receiving the account information from the bank / by credit card in the application form on the web site at one time or in installments.
SPOT.TER Membership has the option for Payment (Individual, Family, Seminar and Corporate Membership) in installments and the installments can only be made through certain cards of the certain banks. (Akbank T.A.Ş. and T.Garanti Bankası A.Ş.) The card types that can apply installments and how the installment is applied are entirely on the initiative of the related bank and can vary according to the bank applications. The difference in delay interest as a result of the installment shall be charged to the Member in addition to the total membership package amount. If credit / debit card payment is not approved by the related bank, the purchase transaction shall be deemed as failed by SPOT. For the payments made by bank transfer, it is obligatory that the name of the member to be filled out completely in the mail order form and sent to SPOT.
6.Rights for Withdrawal:
Provided that the member did not use any of the rights, services or privileges granted to him within the scope of “Membership Categories” defined in this contract regarding the category selected in the Application Form approved / confirmed in electronic platform after being created in web site, the member may withdraw the membership within 14 (fourteen) days since the approval of contract in electronic platform with a written notice to be delivered against signature to SPOT. According to this matter, the Member who sends the cancellation notice shall be obliged to return the original invoice to SPOT, together with the cancellation notice within the same 14 (fourteen) day period. If the original invoice is not sent, VAT and other legal obligations shall not be returned. In this case, SPOT will make a refund of the payment that has been made by the Member so far, without any interest, following the date of the receipt, within 14 (fourteen) days. The refund shall be made to the same credit card that Member completed the payment through, after applying the deduction of the commission of the credit card. After the bank transfer to the Member’s account, the Member shall be already accepting that it is not possible for SPOT to intervene to the transaction process in any way for possible delays, and it may take longer for related bank to reflect the amount returned to the Member’s account.
7.General Provisions Regarding Membership:
The member is obliged to act in accordance with the rules to be determined regarding the processes by SPOT and determined in the printed and electronic documents issued by SPOT in the Application Form given on the electronic platform in web site and in the contract during the membership period. Otherwise, membership (and any additional membership cards if applicable) shall be canceled regardless to the fees or any other payment without obligation to indemnify. In addition, all legal and penal obligations which may arise through the damages caused by the member that are against the rules, shall be totally and exclusively on the responsibility of the member; shall not be undertaken by SPOT.
The member has the rights to switch the “Biannual” Membership Category with the “Annual” Membership Category, which is a higher level of membership, within 14 (fourteen) days. The difference between the payment that is made by the member at first, and the payment for newly selected membership category shall be paid by the Member in cash and in advance. Accordingly, old and new membership categories shall be merged in terms of one – year membership period, and the extension of time shall not be possible. There is no possibility to acquire a different membership package which is lower in terms of the amount. It cannot be applied by SPOT, even if the otherwise is requested by the Member.
If the Member chooses the Family Membership Package, he accepts that the package is up to 2 adults and 2 children. The package price that SPOT decided and applied in the membership conditions shall not change, even if the number of persons who acquired this package is lower than 4 (four) in total. At the very most, 2 (two) adults can benefit from the Family Membership Package. For each child who wants to be included as a member other than 2 children to the Family Membership Package, payment must be made by the adult member at the beginning of the membership period. A membership card shall be provided for each adult and for each child within the Family Membership Package.
The right to use a membership card belongs to the Member (Individual – Biannual, Individual – Annual, Individual – Evening, Seminar, Family and Corporate Membership Package Card) issued to his own name and it is obligatory to show the ID during the use of the card. Membership card holders can only use the advantages of the membership card of the category they acquired. The ownership and all rights of membership card shall belong to SPOT and cannot be used for commercial or other purposes, and cannot be used by a third person. The full responsibility of the damage caused by the use of the membership card by a third person shall belong to the member. If the membership ends for any reason, including the right to withdrawal, the Membership card and any additional cards shall be immediately canceled and all rights for use shall be terminated.
If the Membership card or any additional cards accompanying to the package are lost, stolen, or taken by third parties, the Member must promptly notify SPOT about the issue and immediately confirm this notice in writing. A written confirmation shall be required to be delivered to SPOT for the card to be declared invalid. The new membership card shall be delivered to the Member through the method specified for the delivery. In case of not reporting this situation, SPOT cannot be held responsible for the victimization of the Member.
SPOT may terminate membership system in accordance with administrative decisions, if it deems to be necessary. In such a case which is completely separate from the cancellation of the membership, the payment requested with written notification by the Member shall be calculated accordingly to the days between beginning of the membership and cancellation. This payment shall be made deduced from the annual fees, VAT and other taxes. In case of cancellation of the membership, SPOT reminds the member that the return of the payment shall be made after receiving written request. If the request is not made by the member within first 3 months, the remaining payment cannot be made by SPOT.
Memberships are valid for one (1) year or one (1) period (the date set for the package), in accordance with the date of acquisition of the membership. At the end of the period, the member shall be notified for continuity of the membership. Following the approval of the new period of the membership from the person either verbally or in writing, the new membership period payment should be made in accordance with the procedure and with increase included in price (if there is). After receipt of the payment, the period of the membership by SPOT shall be extended or a new membership card shall be issued. In case of a new membership card, the card shall be delivered to the Member by the method specified for the delivery. In case of extending the membership period in scope of this matter, the contract shall remain valid for the same period and maintain the same validity in the following years of membership.
The Member accepts the fact that their address and / or e-mail address and telephone number specified in the Electronic Application Form can be used for the purpose of publicity by SPOT or its sponsors; and allows any kind of promotional content regarding SPOT and its sponsor’s activities, exhibitions and services to be sent to himself.
SPOT shall have the rights to make changes in the Membership Program, in the Application Form for the Membership Program, in the terms of this Agreement / on the electronic platform or in the contents of the printed brochures, and announce its Members about those changes by using various communication channels such as phone / sms or on its website. Continuing to use the rights, services and privileges through the Membership Program along with these changes shall mean that the Member has accepted thse changes.
8. Decleration:
The address of the member in the Electronic Application Form is the legal notification address. Member should notify SPOT about the changes about his name, address etc., in a written document. The notices and submissions that are made by SPOT to the Member shall be sent to the address and / or e – mail address stated in the Electronic Application Form. In the case that any change in contact information of member is not notified to SPOT in writing; SPOT shall not be held liable for the delays, losing, etc. of the deliveries and notifications and all the notices and deliveries that are sent to the addresses stated on the Electronic Application Form shall be deemed to be delivered / notified to the Member legally. SPOT shall not be liable for the external factors such as delays or loss in the post of the deliveries and notifications, or Member’s non-existence at the stated address.
9. Authorized Court:
In the case of disputes arising out of this contract, the complaints and objections, the application can be made within the monetary limits that is specified in the Law on the Protection of Consumers No 6502 directly to the Consumer Claims Committee or the Consumer Courts where the SPOT’s and member’s residences are located.
The Member shall accepts, declares and acknowledges in accordance with the provisions of the Law No. 6502 on the Protection of Consumers and Regulation on Distant Sales Contact to have the information on the categories that are subject to sale, the rights and advantages of the each membership category; the rights to withdraw and information about delivery rules; by approving the purchase of the membership he shall be liable to pay; by approving the Application Form and this Agreement electronically, he also approves that the preliminary Information Form and the invoice issued by SPOT are integral parts of this agreement.
